4. Service Description

Grocefully provides a grocery price comparison and purchasing agent platform that allows users to:

• Compare prices across multiple UK supermarkets
• Create and manage shopping lists
• Find the best deals and offers on grocery products
• Authorise Grocefully to purchase groceries on your behalf
• Save preferences and delivery addresses

We strive to provide accurate and up-to-date information, but prices and availability may change without notice. We do not guarantee the accuracy, completeness, or timeliness of any information displayed.

5. Agency Relationship

When you place an order through Grocefully, you appoint us as your purchasing agent to buy groceries on your behalf from each supermarket. This means:

• You are the purchaser of the groceries, not Grocefully
• The contract of sale for each grocery item is between you and the relevant supermarket
• Grocefully acts solely as your agent in placing orders
• Each supermarket's terms and conditions apply to your purchase from them
• You authorise Grocefully to use the payment you provide to complete purchases at each supermarket

6. What Grocefully Is Not

For clarity, please note that:

• Grocefully is not a retailer. We do not purchase goods for resale.
• Grocefully is not affiliated with, endorsed by, or a partner of any supermarket.
• Grocefully does not guarantee the availability, quality, or suitability of products.
• Supermarket names, logos, and trademarks are the property of their respective owners.

7. Orders and Payments

When you place an order:

• You authorise Grocefully to place orders at each supermarket on your behalf
• You pay Grocefully the total amount (grocery cost + delivery fees + service fee)
• Grocefully uses these funds to purchase items from each supermarket
• Our 5% service fee covers price comparison, order management, and customer support
• All payments are processed securely through Stripe

Prices shown are the same retail prices charged by supermarkets. We do not mark up grocery prices.

8. Delivery

Deliveries are made by each supermarket's delivery service, not by Grocefully:

• Each supermarket is responsible for delivering your order
• Delivery times and slots are subject to each supermarket's availability
• Delivery fees are set by each supermarket and passed through to you at cost
• Grocefully is not responsible for delivery delays or issues caused by supermarkets

If you experience delivery issues, contact us and we will coordinate with the relevant supermarket on your behalf.

9. Refunds and Returns

Grocery Refunds

Since you are purchasing directly from each supermarket (with Grocefully acting as your agent), refunds for grocery items are subject to each supermarket's policies. We will coordinate with the relevant supermarket on your behalf to facilitate refunds for:

• Missing or damaged items
• Incorrect items delivered
• Quality issues

Service Fee Refunds

We offer a money-back guarantee on our service fee. If we did not save you money on your order (after accounting for our fee), contact our support team and we will refund the service fee.

Cancellation

You may cancel or modify orders up until each supermarket's cut-off time (typically a few hours before delivery). After this point, cancellations are subject to each supermarket's policies.

10. User Conduct

When using our Service, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Use the Service for any fraudulent or unlawful purpose
• Attempt to gain unauthorised access to our systems
• Interfere with or disrupt the Service or servers
• Use automated scripts or bots without our permission
• Scrape, copy, or redistribute our content without authorisation
• Upload malicious code or harmful content
• Impersonate any person or entity
• Harass, abuse, or harm other users

11. Intellectual Property

The Service and its original content, features, and functionality are owned by Grocefully and are protected by international copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Product information, images, and prices displayed on our platform are sourced from third-party retailers and remain the property of their respective owners.

12. Third-Party Links and Services

Our Service may contain links to third-party websites or services that are not owned or controlled by Grocefully. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

When you make purchases through links on our platform, you are entering into a transaction directly with the third-party retailer. We are not a party to such transactions and are not responsible for any issues arising from them.

13. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of information
• Warranties that defects will be corrected

We do not guarantee that prices shown will be honoured by retailers, or that products will be in stock when you attempt to purchase them.

14. Limitation of Liability

To the maximum extent permitted by law, Grocefully shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorised access to or use of our servers
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar harmful code transmitted through the Service
• Any errors or omissions in any content
• Your reliance on price information or product availability

15. Indemnification

You agree to indemnify, defend, and hold harmless Grocefully and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

16. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

20. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Grocefully regarding the use of the Service and supersede any prior agreements.
